Agreement Purpose
This Subscription Agreement governs paid access to Wersant SaaS software platforms, applications, technology services, and related solutions.
Wersant SaaS provides software-as-a-service technology solutions that allow authorized users to access digital tools, automation features, workflow systems, educational resources, and related technology services.
Subscription Access
Subject to payment and compliance with this Agreement, Wersant SaaS grants Customer access to the subscribed Services during the applicable subscription term.
Subscription access is limited to authorized users and the plan, order, or written agreement selected by the Customer.
Subscription Fees
Customer agrees to pay applicable subscription fees. Fees are non-refundable except as required by applicable law or stated in the applicable order agreement.
- Monthly SaaS subscriptions.
- Enterprise licensing fees.
- Professional memberships.
- Customized technology licensing.
Renewals, Cancellations, and Account Changes
Subscription terms, pricing, renewals, cancellations, and refunds are governed by the applicable subscription agreement, order form, or account settings made available by Wersant SaaS.
Wersant SaaS may update available plans, features, or pricing with appropriate notice where required by law or agreement.
Customer Responsibilities
- Maintain accurate account and billing information.
- Keep login credentials secure.
- Ensure all users comply with Wersant SaaS policies and applicable laws.
- Review all AI-assisted or automated outputs before relying on them.
Data Ownership
Customers retain ownership of their submitted data.
Wersant SaaS may process data only as necessary to provide, maintain, secure, and improve Services according to applicable agreements and privacy requirements.
Service Availability
Wersant SaaS will make reasonable efforts to maintain availability but does not guarantee uninterrupted service.
Features may vary depending on subscription level, product availability, and platform updates.
Termination
Either party may terminate the Agreement according to the applicable subscription terms.
Upon termination, access rights end unless otherwise agreed.
Disclaimer of Results
Wersant SaaS provides technology tools.
Wersant SaaS does not guarantee legal outcomes, filing approvals, business results, revenue, or specific results from use of the platform.
Limitation of Liability
To the maximum extent permitted by law, Wersant SaaS shall not be liable for indirect, incidental, special, or consequential damages.
