License Grant
Subject to payment and compliance with this Agreement, Wersant SaaS grants Customer a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term.
The license does not transfer ownership of Wersant SaaS technology.
SaaS Services
- Software access.
- AI-assisted workflows.
- Document automation.
- Data organization tools.
- Resource materials.
- Platform integrations.
- Features may vary depending on subscription level.
Intellectual Property Ownership
Wersant SaaS retains all ownership rights in its software, AI systems, databases, technology architecture, designs, trademarks, and documentation.
Customer receives only the rights expressly granted in the applicable agreement.
License Restrictions
- Copy or reproduce the software except as expressly authorized.
- Reverse engineer, decompile, or attempt to extract source code or proprietary technology.
- Resell, sublicense, lease, or distribute access without written authorization.
- Remove intellectual property notices.
- Use the platform unlawfully or in a way that harms platform integrity.
Private Label and White Label Licensing
A white-label solution allows an authorized partner to offer Wersant SaaS technology under their own branding while the underlying technology remains owned and operated by Wersant SaaS.
A private-label solution allows a partner to customize certain aspects of the platform, branding, workflows, or user experience while receiving authorized access under a licensing arrangement.
All private-label and white-label rights require a separate written agreement.
Platform Updates
Wersant SaaS may modify, improve, suspend, or discontinue features as part of ongoing platform development, security, compliance, or operational needs.
Data Use and Processing
Customers retain ownership of their submitted data.
Wersant SaaS may process data only as necessary to provide, maintain, secure, and improve Services according to applicable agreements and privacy requirements.
No Transfer of Ownership
All software, trademarks, technology, databases, designs, documentation, and intellectual property remain the property of Wersant SaaS unless otherwise stated in a written agreement.
Disclaimer of Results
Wersant SaaS provides technology tools and does not guarantee legal outcomes, filing approvals, business results, revenue, or specific results from use of the platform.
Governing Law
This Agreement shall be governed by applicable laws designated in the final executed agreement.
